Dear innovatize,

Thank you for this interesting forum. It would great if you can give me some advice or informations concerning this specific issue:

I work for a French company specialised in mechanical ingineering.
We are setting up a JV company in Shanghai with a Chineese trading company.
Just obtained our business licence and we are now focusing on the production flows and taxes.

To start production and validate the process, we will use semi-finished parts send from France to the JV for each step of production. The finished parts will be send back to France.

My question: "is there a simple way to avoid or lower taxes in this operation?"

Thank you
Yan

Hi Desiree:

There are new limits on the amount of cosmetic products you can hand-carry into China. It is a very small amount...something like one or two jars of cream, etc. Very limited. Of course, Chinese customs officials rarely check suitcases but the risk is still there, and this would make any sort of "hand carry" delivery business too small.

Whether you have a website or not, the problem is not selling, but rather how to get the products into China. The legal way requires testing of all formulas, licenses, etc. Very complicated for a small new business handle. The illegal way is to hand carry them in, or just ship them to consumers and hope the packages do not get caught by Chinese customs. I would not recommend that either.

First, I assume you have already asked the supplier to return your money and they have refused.

If you signed a contract with the supplier, then it should state clearly what to do in case of disputes, i.e. either go to court or to arbitration.

If you did not sign such a contract summarizing the terms of your business relationship (To other readers: be sure you do this before you purchase products from China), then your next step would be to file a lawsuit in China. Complicated and difficult to win. Also, even if you win, it will be very difficult to implement the court's decision. That's just the way the justice system works (or doesn't work) in China.

In the future, if you choose to pay via sight LC, make one of the LC document requirements a signed inspection report from your specified inspection company in China. That way, they will need to visit the supplier before shipment, inspect the products, confirm ok, then give this inspection form to the supplier. Otherwise, the supplier will not be able to get payment.

Dearest Thomas,

I'm a frequent traveller between Malaysia and China before, wherein I have befriended many Chinese people throughout my visits there. I came across a topic of discussion regarding Body Shop in this forum and I must agree, the Chinese people cannot purchase Body Shop products on the mainland. I have been their stockist, whereby I will bring those products for them whenever I'm up and running in China. All on a pro-bono basis. Would you think setting up an online business for this range of items is viable in China?? If yes, what would your advice be for me??
p/s: I understand the Chinese people can order online through a local website.

Regards,
Desiree.

Hey there! I agree with you Phoenixdrache ~ the Body Shop products have to be sourced outside the mainland China. There must be other prevalent reasons ( which of course, I dont know! ) why there is no Body SHOP anywhere on the mainland.

Thanks for the answers. I've been looking for a forum like this, and it seems like i finally found the right one.

The company is Norway based. Im writing the invoice to meet norwegian requirements for invoices. The standard chinese invoice does not meet these requierements.
In norway these numbers (org. number and VAT number) is one and the same number. I just wrote up both of the numbers on the invoice. in that way the tax officials can figure out themselves wich number they want to use.

Agree with the above post. If it is for Norweagen purposes, then not sure which one the Norwegian Gov would require (the 2nd term does seem to be waht you are looking for) and I would imagine it would actually be more so based on your import docs. However, if you mean your Norwegian company is China based then it is the supplier's responsibility to provide the VAT reciept and nothing else will substitiute for that.

From your brief description, it sounds as if you are trying to meet Norwegian government requirements. So it is up to them to determine what they mean by "organization number" and "VAT number". I am not familiar with those exact English terms being used in China. But the two numbers that the Beijing supplier gave to you (license registration number and tax id number) do seem to me to be correct.

Im working for a norwegian company. We have just bought some components from a Bejing compay. To be able to pay VAT and import duty for what we buy here, we need to get a sufficient invoice from them. As they dont have, im writing it for them. I asked the company for an organisation number and a VAT number. The company gave a 执照号 and a 税务号 wich would translate in to license number and tax number. Would this be the numbers i asked for?

The best place will be Guangzhou . Guangzhou has several professional clothes wholesale market located in city center area. I have seen lots of fashionable clothes there such as color change Tshirts , Jackets with twinkling function , Hats with MP3 function .etc. There is also a knock off ,we also call it repica clothes wholesale market . You could find lots of brand name stuff there such as Von Dutch , Ed Hardy , Evisu .Bape .etc. But as it is illegal to sell replicas and my point why I suggest you to visit there as well is just want you to OEM the styles of the brand name stuff .Probably you may sell your own brand very well if your style is based on world famouse brand .

Shanghai also has clothes market but comparing with Guangzhou , that is too small . Guangzhou is a paradise for trading and wholesalers and there are more than 500 different wholesale streets for different products in Guangzhou city .

Good luck .

Frankly speaking , I donot know what kind of clothing you are going to purchase from China but per my understanding and experiences , you will have two choices as follows:

a. If you are purchasing knock off clothing , also named as replica clothings , The best places will be Guangzhou . There is amazing big wholesale markets for this kind of stuff . You could find almost of every world famouse brands such as LV, Diesel ,Von Dutch , Ed Hardy .etc. there .

b. If you want to OEM your clothing , it really depends on what kind of clothing you are doing to purchase. For underwear , it will be Yanbu ,Foshan city . For jeans , it will be Zengchengcity , just one hour bus time from Guangzhou , For sports clothes and shoes , then jingjiang city or fuqing city in Fujiang province .

HOpe above helps you something.

You have so many requirements on different goods . Thus the best idea will be to attend china import and export fair also named as Canton Fair . It is the world's NO1 fair for all kinds of chinese products . The website is www.cantonfair.org.cn .

Another thing I would like to remind you is that there may be too many trading companies in the fair but they pretend to be the factories here .You will have to decide by yourself whether you should deal with manufacturers or trading companies based on your company business situation .

b.Guangzhou : gold , beads , diamond The manufacturing basis is in Panyu district while the wholesale market is located on Liwan Plaza.

Thanks ,Innovatize!

Your commments above has been very helpful to me as I am also a sourcing agent based in Guangzhou ,China . Actually what you said above is what I am doing now . In my business ,I stipulate a fixed serving charges based on one year contract with my clients and I clearly guarantee that I will never get commissions or hidden comissions from the suppliers I source for my clients . This has been proved to be very useful for the business like sourcing agent business .

Another part I would like to add is that what kind of benefits we could get really depends on what kind of value we could provide to our clients . This is very important for sourcing agent business . Generally speaking , our role is to try to make the clietns get quality goods instead of rubbish. Then most of work will be preshipment inspection and product sourcing accordingly.

Finally , friendship or we chinese call guanxi is also very important here .Sometimes , we may not achieve the mutual agreements with our clients .But we should also keep in touch with them to get guanxi. They could be your client reference and possible clients later.

Above are just my personal ideas for your reference .

You have some useful experience, so that is good. I think there is still a big need for purchasing agents in China; I frequently receive inquiries from around the world (I don't do that sort of business). The big problem is that most China purchasing agents fall into the "trap" of working for too little commission, then thinking that this gives them the "right" to cheat (i.e. take kick-backs from the suppliers). Based on my experience, 99% of the purchasing agents in China follow this unethical business model. Of course, they claim it is not their fault, and that they are forced into this by overaggressive buyers. Personally, I think this is a silly and worthless excuse.

So if you really want to differentiate yourself, then set up a truly honest purchasing agent business. Charge enough of a % so that you NEVER have to take a kickback from sellers in China. And be very tough in checking your employees to make sure that they never do either (this will take a lot of work, because kickbacks are an integral part of China's famous "5000 years of culture").

IF you can do this, and stick with it, then you will have a hugely successful business. I can guarantee you, that there are tens of thousands of buyers right now that would love to work with an honest purchasing agent in China. And, although they don't like to admit it, they would gladly pay extra for this service.

Frozen foods should be very stable and have nearly zero chance of being rejected by the US Customs Service. If you are experiencing 40-50% chance, then something is very wrong. In other words, the frozen products going into the container in China clearly have some massive problems or your supplier is very unreliable and untrustworthy.

Sounds like a business you should avoid.

Hi,

We are planning to import frozen foods from China for North American market. As on date there are 40-50 % chances of rejection of consignment at custom due to quality or other issue.

In this situation, who bare the risk of rejection. Neither buyer nor suppler will ready to bare this type of risk. There is no margin for this type of risk.

Is there any insurance product or risk management strategy available to mitigate risk ? There are good business opportunity but these scares.

Please send copy of reply to evergreenproduce@live.com.

Thanks in advance.

I have heard that the minimum amount is getting lower in Shanghai these days. Somewhere around US$50,000. But as Anders correctly points out, it depends on whether your business plan matches your proposed investment amount. For example, if you propose to open a super high-end spa in a five star location with all foreign-trained staff, then US$50,000 is obviously not enough.

I think there is always a confusion about limited reg. capital. The regulations are specifying a min. amount of reg. capital but is NOT similar to your min. investment in China. You reg. capital must be in balance with your whole business plan that you will submit to the authorities. One example. If you have high rental fees, high costs for employees, design and decoration, then a low amount of reg. capital would not be in balance with your proposed operation.
